1. ACCEPTANCE OF TERMS

By accessing, browsing, or using the Teton AI Solutions website ("Site"), mobile applications, or any services provided by Teton AI Solutions, LLC ("Company," "we," "us," or "our"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. 3. ELIGIBILITY AND REGISTRATION

3.1 Age and Capacity Requirements

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use our Services. By using our Services, you represent and warrant that you meet these requirements.

3.2 Business Use

Our Services are designed primarily for business, commercial, and professional use. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

  • Attempt to reverse engineer, decompile, or extract proprietary algorithms
  • Use our Services to generate harmful, deceptive, or misleading content
  • Deploy AI solutions that could cause harm to individuals or communities
  • Use our Services to create deepfakes or manipulated media without disclosure
  • Attempt to circumvent usage limitations or security measures
  • Use our AI outputs to train competing AI models without permission
  • Engage in activities that violate AI ethics guidelines or best practices

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Company Intellectual Property

All content, features, functionality, software, algorithms, AI models, databases, text, graphics, logos, trademarks, and other intellectual property associated with our Services are owned by Teton AI Solutions or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 User Content and Data

You retain ownership of data, content, and materials you provide to us ("User Content"). By providing User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, store, and analyze such content solely for:

  • Providing Services to you
  • Improving our Services (in anonymized form)
  • Complying with legal obligations
  • Protecting our rights and interests

5.3 AI Models and Training Data

  • Custom AI models developed specifically for you under paid engagements shall be subject to the terms of the applicable service agreement
  • General insights derived from aggregated, anonymized data may be used to improve our Services
  • You acknowledge that AI training requires large datasets and our models may incorporate publicly available information
  • We retain ownership of our foundational AI technologies, algorithms, and methodologies

5.4 Service-Generated Content

Content generated by our AI Services for you ("AI Outputs") is provided for your use, subject to these Terms. However, you acknowledge that:

  • AI Outputs may not be eligible for copyright protection
  • Similar outputs may be generated for other users
  • You are responsible for reviewing and validating all AI Outputs before use
  • We do not guarantee uniqueness or originality of AI Outputs

6. PRIVACY AND DATA PROTECTION

6.1 Privacy Policy Integration

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

6.2 Data Security Measures

We implement industry-standard technical and organizational measures to protect personal data, including:

7. PAYMENT TERMS AND BILLING

7.1 Service Fees

Fees for Services are as published on our website or as specified in separate service agreements. Our pricing structure includes:

Subscription-Based AI Solutions:

  • Industry-specific AI Suites: Starting from $199-$1,299/month
  • Implementation time: 1-6 weeks depending on complexity

Custom Development and Consulting:

  • AI strategy consulting and planning
  • Custom AI model development and deployment
  • Enterprise solutions and integrations
  • Project costs typically range from $3,000-$20,000 depending on scope and complexity

Professional Services:

  • Training and implementation support
  • Ongoing optimization and maintenance
  • Technical consulting and advisory

7.2 Payment Terms

  • All fees are due in advance unless otherwise specified
  • Payments are processed automatically for subscription services
  • Late payments may incur interest charges at 1.5% per month
  • Services may be suspended for non-payment after 15 days notice

7.3 Refunds and Cancellations

  • Setup fees and custom development work are non-refundable
  • Monthly subscriptions may be cancelled with 30 days notice
  • Refunds for unused service periods may be available at our discretion
  • All refund requests must be submitted in writing

7.4 Price Changes

We reserve the right to modify pricing with 30 days advance notice. Existing contracts will honor original pricing terms for their duration.

8. SERVICE LEVEL AGREEMENTS AND PERFORMANCE

8.1 Service Availability

We strive to maintain 99.5% uptime for our AI Services, measured monthly. Planned maintenance will be announced in advance when possible.

8.2 Performance Standards

  • AI response times: Typically under 3 seconds for standard queries
  • Support response: Business hours (Monday-Friday 9AM-6PM, Saturday 10AM-4PM MT)
  • Implementation timelines: As specified in service agreements (1-6 weeks typical)

8.3 Service Credits

If we fail to meet stated uptime commitments, you may be eligible for service credits as outlined in your specific service agreement.

9. WARRANTIES AND DISCLAIMERS

9.1 Limited Warranty

We warrant that our Services will be performed in a professional manner consistent with industry standards. Our AI Services will substantially conform to their documented functionality.

9.2 AI-Specific Disclaimers

You understand and acknowledge that:

  • AI systems are probabilistic and may produce unexpected, inaccurate, or biased results
  • AI outputs require human review and validation before use
  • AI performance may vary based on data quality and use case
  • We do not guarantee specific business outcomes from AI implementation
  • Continuous monitoring and adjustment may be necessary for optimal performance

9.3 General Disclaimers

Except as expressly set forth herein, our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

We do not warrant that our services will be uninterrupted, error-free, or completely secure.

10. LIMITATION OF LIABILITY

10.1 Limitation of Damages

To the maximum extent permitted by law, in no event shall Teton AI Solutions be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, whether based on contract, tort, negligence, strict liability, or otherwise, even if we have been advised of the possibility of such damages.

10.2 Cap on Liability

Our total liability to you for any and all claims arising out of or relating to these terms or the use of our services shall not exceed the amount paid by you to us in the twelve (12) months preceding the event giving rise to liability, or $3,000, whichever is greater.

10.3 AI-Specific Liability Limitations

You acknowledge and agree that:

  • AI systems are not infallible and may produce errors, biases, or unexpected results
  • You are responsible for implementing appropriate oversight and validation processes
  • We shall not be liable for business decisions made based on AI outputs
  • You assume all risks associated with the deployment and use of AI solutions
  • Any damages arising from AI system failures are limited to the amounts specified above

10.4 Essential Services Disclaimer

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you to the extent prohibited by law.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Teton AI Solutions and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to:

  • Your use or misuse of our Services
  • Your violation of these Terms or any applicable law
  • Your violation of any third-party rights, including intellectual property rights
  • Any content or data you provide to us or generate using our Services
  • Your deployment, implementation, or use of AI solutions we provide
  • Any business decisions made based on our AI outputs or recommendations
  • Claims arising from your customers' or users' interaction with AI systems we provide
  • Any modification you make to our AI systems or integration with third-party systems

This indemnification obligation will survive termination of these Terms and your use of our Services.

12. CONFIDENTIALITY

12.1 Mutual Confidentiality

Each party acknowledges that it may have access to confidential information of the other party, including but not limited to:

  • Technical specifications and algorithms
  • Business strategies and customer lists
  • Proprietary methodologies and processes
  • Financial information and pricing data
  • AI model architectures and training data

12.2 Confidentiality Obligations

Both parties agree to:

  • Maintain strict confidentiality of all confidential information
  • Use confidential information solely for the purpose of providing or receiving Services
  • Not disclose confidential information to third parties without prior written consent
  • Implement reasonable security measures to protect confidential information
  • Return or destroy confidential information upon termination

12.3 Exceptions

Confidentiality obligations do not apply to information that:

  • Is publicly available through no breach of these Terms
  • Was rightfully known prior to disclosure
  • Is independently developed without use of confidential information
  • Is required to be disclosed by law or court order (with advance notice when possible)

13. COMPLIANCE AND REGULATORY MATTERS

13.1 Industry Compliance

Our AI solutions are designed to assist with compliance in regulated industries, but you remain solely responsible for ensuring compliance with all applicable laws, regulations, and industry standards, including but not limited to:

  • Healthcare: HIPAA, FDA regulations
  • Financial Services: SOX, PCI DSS, banking regulations
  • Education: FERPA, COPPA
  • General: GDPR, CCPA, accessibility requirements

13.2 AI Ethics and Responsible Use

You agree to use our AI Services in accordance with established AI ethics principles, including:

  • Fairness and non-discrimination
  • Transparency and explainability where required
  • Human oversight and accountability
  • Privacy protection and data minimization
  • Avoiding harmful or deceptive applications

13.3 Regulatory Changes

As AI regulations evolve, we may need to modify our Services to maintain compliance. We will provide reasonable notice of such changes and work with you to minimize disruption.

14. TERM AND TERMINATION

14.1 Term

These Terms remain in effect while you use our Services or until terminated in accordance with this section.

14.2 Termination Rights

Either party may terminate these Terms:

  • For convenience with thirty (30) days written notice
  • Immediately for material breach that remains uncured after fifteen (15) days written notice
  • Immediately if the other party becomes insolvent or files for bankruptcy

14.3 Effect of Termination

Upon termination:

  • Your right to use our Services will cease immediately
  • You must pay all outstanding fees and charges
  • We will provide reasonable assistance in data export for thirty (30) days
  • Both parties will return or destroy confidential information
  • All AI systems and access credentials will be deactivated

14.4 Survival

The following sections will survive termination: Intellectual Property Rights, Payment Terms (for amounts owed), Warranties and Disclaimers, Limitation of Liability, Indemnification, Confidentiality, and Governing Law.

15. FORCE MAJEURE

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government action, natural disasters, internet or telecommunications failures, or cyber attacks. The affected party must provide prompt notice and use reasonable efforts to mitigate the impact.

16. EXPORT CONTROLS

Our Services and underlying technology may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export laws and will not export, re-export, or transfer our technology to prohibited countries, entities, or individuals.

17. GOVERNING LAW AND DISPUTE RESOLUTION

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law principles.

17.2 Jurisdiction and Venue

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Bonneville County, Idaho, and the parties hereby consent to personal jurisdiction and venue therein.

17.3 Dispute Resolution Process

Before initiating any legal proceeding, the parties agree to:

  • First attempt to resolve disputes through good faith negotiation
  • If unsuccessful after thirty (30) days, engage in mediation through a mutually agreed mediator
  • If mediation fails, disputes may be resolved through binding arbitration under the rules of the American Arbitration Association

17.4 Injunctive Relief

Notwithstanding the above, either party may seek immediate injunctive relief in court to protect intellectual property rights or confidential information.

18. MODIFICATIONS TO TERMS

18.1 Updates and Changes

We reserve the right to modify these Terms at any time. Material changes will be communicated by:

  • Posting updated Terms on our website with a new effective date
  • Email notification to registered users
  • In-app notifications for active users

18.2 Acceptance of Changes

Your continued use of our Services after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must discontinue use of our Services.

18.3 Custom Agreements

For enterprise clients or custom implementations, separate written agreements may supplement or supersede portions of these Terms as specifically agreed in writing.

19. GENERAL PROVISIONS

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements or statements of work, constitute the entire agreement between you and Teton AI Solutions regarding the use of our Services and supersede all prior agreements and understandings.

19.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect, and the invalid provision will be replaced with a valid provision that most closely reflects the original intent.

19.3 Waiver

No waiver of any term or condition shall be deemed a continuing waiver of such term or condition or a waiver of any other term or condition. Our failure to enforce any provision does not constitute a waiver of our right to enforce it later.

19.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms at any time without notice, including in connection with a merger, acquisition, or sale of assets.

19.5 Independent Contractors

The parties are independent contractors. These Terms do not create any partnership, joint venture, employment, or agency relationship between the parties.
